An article by NIIKPU expert, analyst of the Institute for Economic Strategies Sergey Lutsenko "Corporate governance vs financial interests of participants" was published in the "Financial Manager" magazine (No. 2,2020).

The author examines the peculiarities of corporate governance in the context of multidirectional interests of the participants. The focus is shifted towards the active position of the participant (shareholder) in control over the management of the company. The company is viewed as a legal fiction, behind which are the financial interests of the owners. Management has fiduciary duties of good faith and reasonableness in the interests of the participants. The governing body is endowed with wide discretion in managing the legal entity, including with respect to the choice of the planning horizon.

The article is interdisciplinary, covering the elements of corporate governance that are part of corporate finance, both science and corporate law.
