November 27, 2019 NII KPU experts took part in the IX All-Russian Forum on Corporate Governance. The forum is a platform that annually brings together leaders of Russian business - chairmen and members of board of directors, top managers, owners and shareholders of public and private companies - to exchange experiences and find solutions to develop and improve the quality of corporate governance in Russia.

The forum began with the session “Transformation of management: from form to essence”, during which the participants in the discussion evaluated the qualitative aspects of management systems in Russian companies and discussed how effective management is, what forms are most popular today, and what gaps exist in practice.

In his speech, the President of the Russian Union of Industrialists and Entrepreneurs, Alexander Shokhin, noted that at the current stage, instead of the generalized powers of the board of directors to oversee the general management of the company and determine priority areas of activity in the Law on Joint-Stock Companies, it is more appropriate to indicate specific competence issues, such as approving the development strategy of the company and the system of key indicators effectiveness.

The head of the Russian Union of Industrialists and Entrepreneurs also recalled that at the beginning of this year, the Government of the Russian Federation approved the action plan “Transformation of the business climate”, which, among other areas of the development of the business environment, provides for the improvement of corporate governance. In particular, it is planned to develop a legal mechanism to prevent unscrupulous persons from joining the management bodies of public joint-stock companies.

Alexander Shokhin emphasized that corporate governance should be perceived as a two-way system, within the framework of which each of its participants has mutual rights and obligations. However, the current legal regulation focuses on the establishment of duties and responsibilities of the company, as well as members of its management bodies to shareholders. In this regard, the business community came up with a proposal to establish the principles of responsible investment, in particular, to condemn the practice of evading participation in corporate procedures, including voting in management bodies.

The First Deputy Chairman of the Central Bank of the Russian Federation Sergey Shvetsov, independent director of Rosneft Oleg Vyugin, co-founder of the IDA Alexander Ikonnikov, independent director of Sistema JSFC Anna Belova also spoke at the session.
